1.1 Declaration of Consent: By accessing, registering, installing, or using Uneven AI, under any plan tier (Free, Pro, or Team), the User declares to have read, understood, and fully accepted these Terms of Use, as well as our Privacy Policy.
1.2 Representation of Legal Entities: If the User is accepting this Agreement on behalf of a company or other legal entity, they declare that they possess full legal power and authority to bind said entity to these terms, in which case the term "User" shall refer to such legal entity.
1.3 Updates to the Terms: Licensor reserves the right to update and modify these Terms from time to time. Any material changes will be notified to the User with reasonable notice via email or a notification on the platform. Continued use of the tool after the changes take effect implies tacit acceptance of the new terms.
2.1 Scope of the License: Licensor grants the User a personal, temporary, non-exclusive, global, non-transferable, and revocable license to use the Uneven AI software strictly under the terms and limits of the contracted plan. The software is provided as a Software as a Service (SaaS).
2.2 Reservation of Rights: All rights not expressly granted to the User under this instrument are reserved by KR Riley Soluções. This off-the-shelf software license does not merge with and does not include custom engineering, customization, consulting, or on-demand software development services.
3.1 Recurring Billing: Uneven AI subscriptions are billed on a recurring basis (monthly or annual, as selected at the time of purchase). Payments are processed by authorized third-party payment gateways.
3.2 Cancellation of Subscription: The User may request the cancellation of the automatic renewal of their subscription at any time. The cancellation must be performed directly through the account control panel (Dashboard). Cancellation prevents billing for the subsequent cycle but does not entitle the User to refunds for the active billing period.
3.3 Right of Regret and Refund (Customers in Brazil): In strict compliance with Article 49 of the Brazilian Consumer Defense Code (Law No. 8,078/1990), Users residing or established in Brazil possess the right of regret. The User may request the cancellation and full refund of the amount paid within 7 (seven) calendar days from the date of the initial purchase. The request must be formalized by sending an email to [email protected] within the aforementioned period.
3.4 International Customers & Post-Deadline Cancellation: For users located outside the national territory of Brazil, subscriptions are strictly non-refundable, except where local consumer protection laws mandate refunds imperatively. No refunds, partial or full, will be due for requests made after the expiration of the applicable legal regret period.
3.5 Consequences of Non-Payment: Failure to pay the subscription fee on the due date will result in the immediate suspension of access to the premium features of the platform. Licensor reserves the right to delete data and settings stored on its servers if the default persists for more than 30 (thirty) days.
4.1 Independence from Third-Party Services: Uneven AI operates under the BYOK (Bring Your Own Key) model. The software subscription grants the right to use the local interface and tools but does not include credits, tokens, or API keys for processing third-party artificial intelligence models (such as OpenAI, Anthropic, Google Gemini, DeepSeek, etc.).
4.2 Costs and Usage Limits: The User is solely and exclusively responsible for obtaining and maintaining valid accounts and API keys with the respective AI providers, directly paying all tariffs, fees, and invoices issued by such providers, and respecting the rate limits and terms of use of each external provider.
4.3 Context Delimitation & External Failures: AI processing occurs via the APIs configured by the User. Licensor has no control over the response time, accuracy, security, or availability of third-party services. Any interruptions in the services of these external providers do not generate rights to refunds or discounts on the Uneven AI subscription.
Uneven AI adopts the Privacy by Design concept to ensure compliance with the Brazilian General Data Protection Law (LGPD - Law No. 13,709/18) and alignment with the best practices of the General Data Protection Regulation (GDPR).
5.1 Zero Code Telemetry: Licensor guarantees that no source code, local project files, or analysis logs processed by the Uneven AI engines are transmitted, stored, indexed, or copied to the servers of KR Riley Soluções. Data traffic related to the User's files occurs exclusively locally or directly between the User's machine and the API of the configured AI provider.
5.2 Database Security & Access (Read-Only Schema): When the User connects the software to local or remote databases, Uneven AI operates strictly in Read-Only Schema mode. The software is designed to read structural metadata (table names, column types) for contextual purposes, and is prohibited from reading complete records, inserting, modifying, or deleting tables or records without direct human intervention and explicit approval in the local interface. Access credentials provided by the User are stored exclusively in the local environment and in an encrypted format.
5.3 Collection of Registration Data: Licensor collects only the minimum registration data necessary for billing, support, and license authentication (such as Name, Email, CPF/CNPJ or international equivalent billing details). This data is stored securely and in encrypted form. The User may exercise their rights of access, rectification, deletion, and portability of personal data by contacting support.
6.1 Disclaimer of Warranties (As Is): Uneven AI is provided on an "as is" and "as available" basis, without warranties that the operation will be completely uninterrupted, error-free, or compatible with all hardware and software configurations of the User.
6.2 Obligatory Code Validation (Human in the Loop): The User acknowledges that Uneven AI uses artificial intelligence based on probabilistic models and that code suggestions may contain errors, vulnerabilities, or hallucinations. It is the sole responsibility of the User to subject all generated code to rigorous testing and validation by qualified human software engineers before deploying it to production environments.
6.3 Cumulative Liability Limit: To the maximum extent permitted by applicable law, the cumulative financial liability of KR Riley Soluções to the User for any direct or indirect damage (including lost profits, loss of data, or operational failures) shall be strictly limited to the sum of the amounts actually paid by the User to Licensor in the 6 (six) months preceding the date of the event that gave rise to the claim.
7.1 Acceptable Use Rules: The User agrees to use the software strictly for lawful purposes. It is expressly prohibited to use Uneven AI tools to create, distribute, or facilitate the development of malware, viruses, unauthorized intrusion tools, or any other type of malicious code.
7.2 Pentester Mode & Remote Shell: Specialized features called Pentester Mode and Remote Shell are restricted. The User represents and warrants that they possess formal, written, and legitimate authorization to perform cyber testing, simulated intrusions, or remote commands on target environments. It is strictly forbidden to use these resources against public infrastructure, government networks, educational networks (schools/universities), healthcare institutions (hospitals), or any civilian targets without the respective legal authorization.
7.3 Technical Termination for Cause: Failure to comply with any subsection of this Article authorizes Licensor to immediately revoke the User's license and block their account, without right to any refund or prior notice, and without prejudice to any losses and damages.
7.4 Indemnification: The User agrees to indemnify, defend, and hold harmless KR Riley Soluções, its directors, and employees from any claims, losses, liabilities, and expenses (including attorneys' fees) arising from the User's improper, illegal, or violating use of these Terms.
8.1 Rights of the Licensor: All intellectual property rights related to Uneven AI, including proprietary source code, designs, interfaces, trademarks, logos, and associated patents, belong exclusively to KR Riley Soluções.
8.2 Rights of the User over Generated Code: The User retains all intellectual property rights over their pre-existing source code. The source code generated by Uneven AI under the User's commands shall belong entirely to the User, subject to any specific license terms or restrictions imposed by the external AI providers whose models were used in the generation.
The User may not, under penalty of immediate termination and application of civil and criminal measures:
10.1 Scope of Support: Technical support is intended exclusively to resolve operational questions regarding the platform and bug fixes native to Uneven AI. Support does not include debugging the User's own code, architectural consultations, or configuration of their own infrastructure.
10.2 Channels and Business Hours: Support will be provided by opening tickets directly in the account Dashboard or via email at [email protected]. Support is provided on a best-effort basis, prioritizing business days from 9:00 AM to 6:00 PM (Brasília Time).
11.1 Governing Law: These Terms are governed by and construed in accordance with the laws of the Federative Republic of Brazil, with emphasis on the Software Law (Law No. 9,609/98), Copyright Law (Law No. 9,610/98), and the Brazilian Civil Code. Both parties elect Brazilian law as the sole applicable law to this contract, to the exclusion of any other.
11.2 Exclusive Forum: Any dispute, controversy, or claim arising from or relating to the interpretation, execution, or violation of these Terms shall be submitted and resolved exclusively in the courts of the Comarca of Viçosa/MG, Brazil, with express waiver of any other forum or jurisdiction, however privileged it is or may become. The international User expressly agrees to submit to the exclusive jurisdiction of the Brazilian courts.
